Terms and Conditions of Sale

These Terms and Conditions (“Terms”) govern all sales of goods and services made through the online trade platform located at shop.stockfilms.co.uk (“Website”), operated by Stockfilms Trading Ltd, a company registered in England and Wales (Company No. 15772026) with its registered office at 45–47 Lancaster Road, New Barnet, Hertfordshire, EN4 8AR, United Kingdom (“the Company”, “we”, “us”, or “our”).

By accessing or placing an order on this Website, the customer (“you”, “your”, or “the Buyer”) acknowledges that they have read, understood, and agree to be bound by these Terms.

1. Interpretation
“Goods” means any products supplied by the Company under these Terms.

“Contract” means the agreement between the Company and the Buyer for the sale and purchase of Goods, incorporating these Terms.

“Working Day” means any day other than a Saturday, Sunday, or public holiday in England.


2. Trade Use
This Website is intended exclusively for trade and business customers. By registering or placing an order, you confirm that the Goods are purchased in the course of your business and not as a consumer under the Consumer Rights Act 2015.

3. Orders and Acceptance
3.1 All orders placed via the Website constitute an offer by the Buyer to purchase Goods in accordance with these Terms.
3.2 The Contract shall come into effect only upon written acceptance or order confirmation by the Company.
3.3 The Company reserves the right to accept or decline any order in its sole discretion.

4. Prices and Payment
4.1 All prices displayed on the Website are exclusive of Value Added Tax (VAT), which shall be charged at the applicable rate.
4.2 Prices are subject to change without prior notice. The price payable shall be that displayed on the Website at the time of order confirmation.
4.3 Payment shall be made in accordance with the Buyer’s approved account terms or, where applicable, prior to dispatch on a pro forma basis.
4.4 Time for payment shall be of the essence. The Company reserves the right to charge interest on overdue sums in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Delivery
5.1 Delivery dates are estimates only and time shall not be of the essence.
5.2 The Company shall not be liable for any delay or failure in delivery resulting from circumstances beyond its reasonable control.
5.3 Risk in the Goods shall pass to the Buyer upon delivery. Title shall not pass until payment in full has been received by the Company.
5.4 The Buyer shall inspect the Goods upon delivery and notify the Company in writing of any shortages or damages within 48 hours of receipt. Failure to do so shall constitute acceptance that the Goods conform to the Contract.

6. Returns
6.1 Returns of standard stock items may be accepted only with the prior written authorisation of the Company and must be made within 14 days of delivery.
6.2 Goods must be returned and arrive back in their original packaging, unused and in resaleable condition.
6.3 Special order items, custom-cut materials, or non-stock Goods are non-returnable except in cases of proven defect.

7. Confidentiality and Account Access
7.1 The Website, including trade pricing, account terms, and associated documentation, is provided exclusively for the Buyer’s internal business use.
7.2 The Buyer shall treat all trade information, including pricing, technical specifications, and account details, as confidential, and shall not disclose or share such information with any third party without the Company’s prior written consent.
7.3 Each Buyer is responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account.
7.4 The Company reserves the right to suspend or terminate access to any trade account in the event of unauthorised access, misuse, or breach of confidentiality obligations.

8. Account Suspension and Termination
8.1 The Company may, at its sole discretion, suspend or terminate the Buyer’s Website access or trade account with immediate effect if:

The Buyer fails to make payment when due;

The Buyer breaches any of these Terms;

The Company has reasonable grounds to suspect unauthorised or fraudulent account activity; or

The Buyer ceases to trade, becomes insolvent, or enters administration.
8.2 Termination under this clause shall not affect any existing obligations of the Buyer, including payments due for Goods already supplied.
8.3 Upon termination, the Buyer shall immediately cease using the Website and any associated trade materials or login credentials provided by the Company.

9. Product Descriptions
While every effort is made to ensure the accuracy of product descriptions, specifications, and images, such information is provided in good faith and shall not form part of the Contract. It is the Buyer’s responsibility to ensure the Goods are suitable for their intended application.

10. Limitation of Liability
10.1 Nothing in these Terms shall limit or exclude the Company’s liability for death or personal injury resulting from its negligence, or for any matter that cannot be lawfully limited or excluded.
10.2 Subject to clause 10.1, the Company shall not be liable for any indirect, consequential, or economic loss (including, without limitation, loss of profit, business, or goodwill) arising out of or in connection with the Contract.
10.3 The Company’s total aggregate liability for any claim shall not exceed the total price of the Goods supplied under the Contract.

11. Intellectual Property
All intellectual property rights, including trademarks, designs, and content displayed on the Website, remain the exclusive property of Stockfilms Trading Ltd. No licence or right is granted to use any such materials without the Company’s prior written consent.

12. Data Protection
The Company shall process personal data in accordance with its Privacy Policy, available at https://shop.stockfilms.co.uk/policies/privacy-policy, and in compliance with applicable data protection laws in force within the United Kingdom.

13. Force Majeure
The Company shall not be liable for any delay or failure in performance arising from circumstances beyond its reasonable control, including but not limited to acts of God, war, industrial action, or supply chain disruption.

14. Governing Law and Jurisdiction
These Terms and any Contract made hereunder shall be governed by and construed in accordance with the laws of England and Wales, and the parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
